Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (individually or on behalf of the entity you represent, "Customer", "you", or "your") and Portal Origin ("Portal Origin", "we", "us", or "our"), located and operating in the State of California, United States.

By accessing, browsing, registering for an account, or creating a dedicated workspace on portalorigin.com or any associated tenant subdomains, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the requisite legal authority to bind such entity to these Terms. If you do not agree to all terms and conditions of this Agreement, you must not access or use the Service.

Portal Origin provides a multi-tenant workspace management operating system designed for modern organizations. The platform features 10 core integrated workplace modules:

Account Information: When registering an account or creating a workspace, you agree to provide accurate, current, and complete information and maintain its accuracy.

Credential Security: You are responsible for safeguarding your credentials and API keys. You must immediately notify Portal Origin of any unauthorized use of your account or security breach. Portal Origin cannot and will not be liable for any loss arising from unauthorized account access resulting from your failure to protect credentials.

Administrator Authority: Customer workspace administrators maintain administrative control over member provisioning, module entitlements, role capabilities, and workspace content within their organization tenant.

You agree not to use or attempt to use the Service to:

• Violate any applicable local, state, federal, or international law or regulation.
• Infringe upon the intellectual property, privacy, or proprietary rights of any third party.
• Upload, store, or transmit malicious software, viruses, worms, Trojan horses, or harmful code.
• Circumvent, disable, or tamper with security-related features, tenant isolation barriers, rate limits, or RBAC permission gates.
• Reverse engineer, decompile, disassemble, or derive source code from any portion of the platform.
• Perform unauthorized penetration testing, vulnerability scanning, or Denial of Service (DoS) attacks against our infrastructure.
• Send unsolicited bulk communications, spam, or phishing campaigns.
• Engage in harassment, hate speech, defamation, or discriminatory behavior in public directories or peer recognition feeds.

License to Portal Origin: Customer grants Portal Origin a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data solely to the extent necessary to provide, secure, and maintain the Service in accordance with these Terms and your configuration.

Portal Origin Intellectual Property: Portal Origin and its licensors retain all proprietary rights, copyright, trademarks, trade secrets, software code, UI designs, and know-how in the platform. You may not copy, reproduce, or create derivative works of our software or branding without prior written consent.

Pricing & Tiers: Portal Origin offers both free and paid workspace tiers with specified member seat limits, storage quotas, and advanced module access.

Payment Authorization: For paid subscription tiers, you authorize Portal Origin (or our third-party payment processor) to charge your designated payment method recurringly on a monthly or annual billing cycle.

Taxes: All fees are stated in United States Dollars (USD) and exclude applicable sales, use, or value-added taxes, which are the responsibility of the Customer.

Cancellation & Refunds: You may cancel your subscription at any time via workspace settings. Fees paid are non-refundable except as required by applicable California consumer law or expressly agreed in an enterprise agreement.

The Service allows integration with third-party identity providers (e.g., SAML 2.0 with Okta, Microsoft Entra, Google Workspace, OneLogin) and external APIs. Portal Origin is not responsible for the availability, security, or performance of external third-party services. Your use of such services is governed by their respective terms and policies.

We endeavor to maintain high platform availability (target 99.9% uptime). However, we do not guarantee uninterrupted or error-free operation. We may perform routine maintenance, deploy software enhancements, or temporarily suspend access for emergency repairs with reasonable prior notice where practicable.

By Customer: You may terminate your account or workspace at any time.

By Portal Origin: We may suspend or terminate your access immediately if you breach these Terms, fail to pay subscription fees, or engage in activity that threatens the security or stability of the platform.

Post-Termination Data Export: Upon termination of a paid workspace, Customer may request an export of Customer Data within thirty (30) days, after which we may permanently delete all tenant data in accordance with our data disposal schedule.

You agree to defend, indemnify, and hold harmless Portal Origin and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) Customer Data uploaded by you or your users; (c) your breach of any provision of these Terms; or (d) your violation of any law or third-party rights.

Under California Civil Code Section 1789.3, California users are entitled to the following specific consumer rights notice:

• Entire Agreement: These Terms and our Privacy Policy constitute the complete and exclusive agreement between the parties concerning the subject matter hereof.
• Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.
• No Waiver: Our failure to enforce any right or provision shall not be considered a waiver of those rights.
• Modifications: We may revise these Terms from time to time. If revisions are material, we will provide at least thirty (30) days' notice before changes take effect. Continued use after changes constitutes acceptance.
